Degussa negotiates with BASF on Sale of Construction Chemicals Activities

At its meeting on December 13, 2005, the Supervisory Board of Degussa AG, Dusseldorf, authorized the Degussa Management Board to examine the sale of the activities that are grouped in the Construction Chemicals reporting segment. On February 6, 2006, the Degussa Management Board decided to enter into negotiations on a sale, having taken into consideration all relevant factors, especially the offers received.

After evaluating and assessing all the offers received, the Management Board has now decided to conduct intensive negotiations only with BASF at present. The joint aim is to conclude the purchase agreement for the transaction shortly.

In fiscal 2004 the Construction Chemicals activities generated sales of EUR 1.8 billion and an EBIT (earnings before interest and taxes) of EUR 201 million. Sales for the first nine months of 2005 came to EUR 1.5 billion and the EBIT was EUR 174 million.
