The adhesives & sealants industry has witnessed some major mergers and acquisitions in first half of 2021. As the world is still trying to recover from the COVID-19 global pandemic, some companies have managed to take strategic decisions to grow and expand their businesses through acquisitions.

Avery Dennison Acquires ACPO to Boost Adhesive Label Business

Avery Dennison acquires ACPO Ltd. for the purchase price of 87.6 million USD, subject to certain post-closing adjustments. Avery Dennison has acquired majority of ACPO’s assets, including finishing and distribution operations at its Oak Harbor, Ohio, headquarters and three finishing and distribution sites in Atlanta, Georgia; Oak Creek, Wisconsin; and Vancouver, Washington.

Our acquisition of ACPO will further strengthen our leadership in core label materials segments. By adding ACPO’s well-regarded and complementary overlaminate product, we are increasing our product portfolio and adding even more value for our customers,” said Mitch Butier, Avery Dennison’s chairman, president and chief executive officer.

Huntsman Completes Acquisition of North American Specialty Chemical Manufacturer

Huntsman Corporation completes the acquisition of Gabriel Performance Products (Gabriel), a North American specialty chemical manufacturer of specialty additives and epoxy curing agents for the coatings, adhesives, sealants and composite end-markets, from Audax Private Equity.

Huntsman paid 250 million USD, subject to customary closing adjustments, in an all-cash transaction funded from available liquidity. Gabriel had 2019 revenues of approximately 106 million USD with three manufacturing facilities located in Ashtabula, Ohio, Harrison City, Pennsylvania and Rock Hill, South Carolina.

Azelis Italy to Acquire Specialized CASE Chemical Distributor

Azelis has signed an agreement to acquire 100 percent of the shares of Came Chemical Mineral and Engineering S.r.l. ("CAME”) in Italy. CAME is specialized in the distribution of chemicals for CASE (coatings, adhesives, sealants and elastomeres), friction and sintering applications and cosmetics.

The acquisition of CAME will enable Azelis to expand its field of activities into the friction market and it will strengthen its presence in CASE, personal care and rubber & plastic additives (R&PA).

Stepan Acquires INVISTA's Aromatic Polyester Polyol Business to Boost Market Growth

Stepan Company has purchased INVISTA's aromatic polyester polyol business and associated assets. Included in the transaction are two manufacturing sites, one in Wilmington, NC (United States) and the other in Vlissingen (the Netherlands), and intellectual property, customer relationships, inventory and working capital.

"We are excited to add INVISTA's polyester polyol capabilities to Stepan. This acquisition expands our manufacturing capability in both the United States and Europe, enhances our business continuity capabilities for the market and supports the growth of our global rigid polyol business. We expect that INVISTA's available spare capacity, plus debottlenecking opportunities in both plants, will allow Stepan to support market growth in a capital efficient way," said F. LANXESS to Acquire Emerald Kalama Chemical to Expand Business

LANXESS has signed a binding agreement to acquire 100 percent shares in Emerald Kalama Chemical on February 14, 2021. The US-based company is a manufacturer of specialty chemicals, especially for the consumer segment, and is majority-owned by affiliates of the US private equity firm American Securities LLC.

We are gaining further momentum on our growth course. The businesses of Emerald Kalama Chemical are an ideal fit for us. We will further strengthen our Consumer Protection segment and open up new application areas with strong margins, for example in the food industry and animal health sector. In addition, we will also enlarge our presence in our growth region of North America. All this will make us even more profitable and stable,” said Matthias Zachert, chairman of the board of management of LANXESS AG.

LANXESS Completes Acquisition of INTACE, a Biocides Manufacturer

LANXESS completes the acquisition of the French company INTACE SAS. The Paris-based biocide company is a manufacturer of specialty fungicides for the packaging industry. The parties have agreed not to disclose the purchase price. LANXESS strengthens its biocides business with the acquisition of INTACE.

The biocides businesses now acquired account for annual sales in the mid single-digit million euro range. LANXESS will integrate them into the biocides business line within its material protection products business unit. The products are used in particular in paper, paperboard, soap packaging, labels and banknotes.

Meridian Adhesives Group Boost its Electronics Division with New Acquisition

Meridian Adhesives Group (Meridian) acquires Pacific Adhesive Systems (PAS), a Malaysia-based company serving the electronics, semiconductor and medical markets with high-performance adhesive and coating solutions.

Having joined Meridian Adhesives Group, we are now positioned to reach greater heights in innovative adhesive solutions,” said David Lee, Pacific Adhesive Systems’ president. “With the backing of Meridian, we will be able to further support customers regardless of their location.”

Sika to Acquire Hamatite, a Japanese Adhesive & Sealant Supplier

Sika to acquire Hamatite, the adhesives business of The Yokohama Rubber Co., Ltd. Hamatite is a supplier in Japan, offering adhesives and sealants to the automotive and construction industries.

The acquisition will significantly strengthen Sika’s market position in Japan, increase market access to all major Japanese OEMs, and notably extend the product offering for sealing and bonding applications in the Japanese construction industry.

Bostik to Acquire HMA & PSA Manufacturer in US

Arkema expands Bostik's offerings in high-performance adhesives in the United States with the planned acquisition of Edge Adhesives Texas, a complementary asset in hot-melt adhesives and pressure sensitive adhesive tapes for residential construction.

This project is in line with Arkema’s strategy of bolt-on acquisitions to develop greater breadth in adhesives and deliver new products to meet expanding demand.

Indorama Ventures in Negotiations with Ultrapar for Oxiteno’s Acquisition

Indorama Ventures enters into an exclusive negotiation with Ultrapar Participações S.A. for the possible purchase of the business of Ultrapar’s subsidiary Oxiteno S.A. Indústria e Comércio in Brazil.

The transaction gives IVL access to innovative platforms in attractive end markets and technologies, enhanced geographical diversification, and strong innovation capabilities. The combined business would create a new market leader, becoming the largest ethoxylates producer in Americas and the second largest globally.
